Terms of Service
Quick Summary
- You control your meetings. You decide when Muse records, who has access, and how long data is retained.
- You are responsible for recording consent. You must have the legal right to record meetings in your jurisdiction.
- We process, not own, your content. You retain ownership of your meeting data.
- AI outputs are aids, not guarantees. Transcripts and summaries may contain errors. Review before acting.
- You can leave at any time. Export your data and close your account whenever you choose.
1. Agreement to Terms
By creating an account, accessing, or using the Muse platform (the “Service”), you agree to be bound by these Terms of Service (“Terms”). If you are using the Service on behalf of an organization, you represent that you have the authority to bind that organization, and “you” refers to that organization.
If you do not agree to these Terms, do not use the Service.
2. The Service
2.1 Description
Muse is an AI meeting intelligence platform that joins video meetings on supported platforms (Zoom, Google Meet, Microsoft Teams), captures and transcribes audio, generates AI-powered summaries, decisions, and action items, and delivers meeting intelligence through the application and integrated tools.
2.2 Service Availability
The Service is provided “as available.” We do not guarantee uninterrupted access and may perform maintenance or experience outages. Team and Enterprise customers may have uptime commitments in a separate SLA.
2.3 Modifications
We may modify features of the Service with reasonable notice. If a change materially reduces paid functionality, you may cancel and receive a prorated refund.
3. Accounts
3.1 Registration
You must provide accurate information when creating an account and keep it current.
3.2 Account Security
You are responsible for your credentials, all activity under your account, and enabling MFA when available. Report unauthorized access to security@musecreative.ai.
3.3 Organization Accounts
Organization administrators control access, roles, and settings. If you leave an organization, you lose access to its data. The organization retains data created during your membership.
4. Meeting Recording and Consent
4.1 Your Legal Responsibility
You are solely responsible for complying with all applicable recording and consent laws, including federal and state wiretapping laws (all-party consent states: California, Illinois, Florida, Massachusetts, Maryland, Pennsylvania, Washington, and others), international privacy laws (GDPR, UK GDPR), and your organization’s internal policies.
4.2 Recording Disclosure Tools
Muse provides tools to support compliance (see Privacy Policy, Section 5.2). These tools assist with, but do not guarantee, compliance. The availability of tools does not transfer legal responsibility to Muse.
4.3 Prohibited Uses
- Recording meetings without appropriate consent
- Recording meetings where you are not an authorized participant
- Circumventing platform recording notifications
- Processing audio for surveillance or intelligence gathering without legal authority and a Government Addendum
5. Your Content
5.1 Ownership
You retain all rights to your meeting data (“Your Content”). These Terms do not transfer ownership.
5.2 License to Muse
You grant Muse a limited, non-exclusive license to process Your Content solely to provide the Service. This license terminates when you delete Your Content or close your account.
5.3 No Model Training
We do not use Your Content to train, fine-tune, or improve any AI or machine learning model. This applies to Muse’s systems and all third-party AI providers.
5.4 AI-Generated Content
AI outputs may contain errors, omissions, or misattributions. You are responsible for reviewing AI-generated content before relying on or distributing it. Muse does not warrant its accuracy.
5.5 Feedback
If you provide feedback about the Service, you grant Muse a perpetual, royalty-free license to use it for product improvement. Feedback does not include Your Content.
6. Acceptable Use
You agree not to:
- Use the Service for any unlawful purpose
- Interfere with or disrupt the Service
- Attempt unauthorized access to the Service or other accounts
- Reverse engineer or decompile any part of the Service
- Use the Service to develop a competing product
- Resell or redistribute access without written consent
- Upload malicious code
- Exceed usage limits or circumvent restrictions
- Process regulated data (HIPAA, CJIS, ITAR) without an appropriate addendum
7. Subscription Plans and Billing
7.1 Plans
Available tiers: Free, Pro, Team, and Enterprise. Details at musecreative.ai/pricing.
7.2 Billing
Paid plans billed monthly or annually, per organization. Fees in USD and non-refundable except as stated.
7.3 Payment
Processed by Stripe. Failed payments may result in suspension after a 7-day grace period.
7.4 Plan Changes
Upgrades take effect immediately with prorated billing. Downgrades take effect at end of billing cycle.
7.5 Cancellation
Cancel at any time. You retain data access for 30 days after cancellation to allow export.
8. Intellectual Property
The Service, its design, software, algorithms, and trademarks are owned by Muse Creative, Inc. You retain ownership of Your Content (Section 5.1).
9. Privacy
Our Privacy Policy governs data collection and use and is incorporated by reference.
10. Confidentiality
Each party will protect the other’s confidential information with reasonable care. Exceptions: publicly available information, independently developed information, and legally required disclosures.
11. Warranties and Disclaimers
We warrant that the Service will perform materially in accordance with its documentation and that we will use commercially reasonable security measures.
EXCEPT AS STATED ABOVE, THE SERVICE IS PROVIDED “AS IS” AND “AS AVAILABLE.” WE DISCLAIM ALL OTHER WARRANTIES, EXPRESS OR IMPLIED, INCLUDING MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THE ACCURACY OF AI-GENERATED CONTENT.
12. Limitation of Liability
MUSE’S TOTAL LIABILITY SHALL NOT EXCEED THE GREATER OF: (A) AMOUNTS PAID IN THE 12 MONTHS PRECEDING THE CLAIM, OR (B) $100 USD.
MUSE SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.
These limitations do not apply to breaches of confidentiality, gross negligence, willful misconduct, or liability that cannot be limited by law. Government customer liability terms are in the Government Addendum.
13. Indemnification
You indemnify Muse from claims arising from your use in violation of these Terms, your violation of law (including recording consent laws), third-party rights violations, or Your Content.
Muse indemnifies you from IP infringement claims related to the Service, subject to prompt notice and our control of defense.
14. Term and Termination
By you: Cancel and close your account at any time.
By us: We may terminate for uncured breach (30-day notice), security threats, legal requirements, or 12+ months inactivity (Free plan).
After termination: 30-day data export window, then deletion per retention schedule.
15. Dispute Resolution
Disputes are first resolved informally (30 days). If unresolved, binding arbitration under JAMS Streamlined Rules. Either party may seek injunctive relief in court.
DISPUTES WILL BE RESOLVED INDIVIDUALLY. NEITHER PARTY MAY BRING CLASS OR REPRESENTATIVE CLAIMS.
This section does not apply to government customers (see Government Addendum).
16. Governing Law
Governed by the laws of the State of Delaware, United States. Government customers: see Government Addendum for applicable governing law.
17. General Provisions
- Entire Agreement: These Terms, Privacy Policy, DPA, and any Addenda constitute the complete agreement.
- Severability: Unenforceable provisions do not affect the rest.
- Assignment: You may not assign without consent. We may assign in connection with a merger or acquisition.
- Notices: To you via account email. To us at legal@musecreative.ai.
- Force Majeure: Neither party liable for delays from events beyond reasonable control.
18. Enterprise and Government Addenda
Enterprise: Team and Enterprise plans may include custom SLAs, enhanced indemnification, and audit rights.
Government: Government customers may request addenda covering data residency, FISMA/FedRAMP/CJIS/ITAR alignment, enhanced incident notification, and modified liability terms. Contact government@musecreative.ai.
